In these Service Specific Additional Terms, the following terms have the following meanings:

"Contributing Partner"the Client as specified in Section 1.1 of the Order Form;
"Contributing Partner Content"means the resources, tools online teaching, learning expertise or articles and advice published on THE Campus;
"THE"the Supplier as specified in Section 1.3 of the Order Form;
"THE Campus"refers to the website www.timeshighereducation.com/campus which amongst other things currently displays advice on teaching, research and careers in higher education.

2. Benefits

2.1 In consideration of the payment by the Contributing Partner to THE of the Charges, the Contributing Partner shall become a contributing partner for THE Campus which shall:

(a) enable the Contributing Partner to work with THE Campus' editorial team on the Contributing Partner's proposed content for publishing on THE Campus;

(b) enable the Contributing Partner to propose content to be published on The Campus to showcase the Contributing Partner's teaching expertise subject to such content having been approved by THE, such approval not to be unreasonably withheld;

(c) entitle the Contributing Partner to an institutional profile page where all the Contributing Partner's faculty and staff's content written for THE Campus and approved by THE for publication can be displayed, with such page to include:

(d) the Contributing Partner name and logo.

(e) a header image.

(f) the Contributing Partner selected text to promote the Contributing Partner; and

(g) a central hub for the Contributing Partner's THE Campus resources.

(h) provide access to THE Campus editorial publishing schedule and key submissions deadlines;

(i) enable the Contributing Partner to have its logo displayed on THE Campus homepage; and

(j) global opportunities for Contributing Partner to take part in key THE Campus events and digital roundtables.

3. Collaboration

3.1 Within 30 days of the signing of this Agreement, THE Campus editorial team and the Contributing Partner will have an initial consultation meeting to understand the University's area of expertise and for THE Campus editorial team to share forthcoming editorial schedules that will enable the University to contribute to THE Campus agenda setting "Spotlight" series, to appear in THE Campus live events and to help shape the editorial direction of THE Campus platform.

3.2 Further meetings will be held between the parties as agreed from time to time to discuss editorial schedules and Contributing Partner contributions.

3.3 The Contributing Partner will also be introduced to our Customer Success team to start preparing all the required assets to provide the enhanced profile and all its benefits.

4. Acknowledgement

4.1 The Licensee Contributing Partner acknowledges that it may not be possible to publish all the Contributing Partner Content submitted by the Contributing Partner and/or to publish by the expected publication dates and THE Campus editorial team will work with the Contributing Partner to agree the timing of the delivery of the Contributing Partner Content to THE and the volume of the Contributing Partner Content to be provided.

5. Charges

5.1 The Charges are inclusive of all costs incurred by THE to provide the THE Campus services to the Contributing Partner.

6. Payment terms

6.1 The Client shall pay THE the Charges as set out in Section 4 of the Order Form, for which THE shall be entitled to submit invoices either annually or as a one-off payment.

6.2 Invoices shall identify the particular Services to which they relate and the time of their performance.

6.3 Charges are payable within 30 days of the Client's receipt of THE's properly submitted invoice and are exclusive of all taxes, charges, duties and levies except any applicable VAT (which the Client shall pay in addition at the rate and in the manner prescribed by law, subject to receipt of a valid VAT invoice).

7.1 The Parties agree that this Paragraph 8 shall take precedence over Clause 2 of the General Terms and Conditions in relation to the THE Campus Services.

7.2 The Contract shall begin on the Effective Date and shall, unless terminated earlier in accordance with Clause 10 of the General Terms and Conditions, continue in full force and effect for the Initial Term. The Term of this Contract shall automatically be extended for one year (an Extension Period) at the end of the Initial Term and at the end of each Extension Period, unless either Party gives written notice to the other, not later than 30 days' before the end of the Initial Term or the relevant Extension Period, to terminate this Contract at the end of the Initial Term or the relevant Extension Period, as the case may be.

8. Liability and Warranties

8.1 Each party's total liability under these terms shall not exceed the total fees paid by the Licensee in the preceding 12 months.

8.2 Subject to Clause 9.1 of the General Terms and Conditions, THE shall not be liable in contract, tort (including negligence), breach of statutory duty or otherwise for:

(a) any loss arising from failure by the Client to use the Institution Content Services or the Licensed Materials in accordance with the Contract; or

(b) any loss arising as a result of any third party bringing a claim in respect of any of the above types of loss.

9. Termination

9.1 In addition to the termination rights (if any) specified in the General Terms and Conditions, the Client may terminate the Contract at any time, on giving 30 days prior written notice to THE, in the event that the THE Campus website is unavailable for a period of 14 consecutive days (save where the period of unavailability, or any part thereof, is caused by a Force Majeure Event).

9.2 In the event that the Client terminates the Contract in accordance with Paragraph 10.2 of the General Terms and Conditions or Paragraph 9.1, the Client shall be entitled to a refund of the Charges that the Client has paid in advance (calculated on a pro-rata basis) in respect of the remainder of the Term.
