Job Description Summary

The primary function of this position is to provide legal transactional support to the PCI corporate alliance team and backup support for the other PCI licensing teams.

The dedicated client relationship for this role is the PCI Executive Director of Corporate Alliances. This position is an attorney member of a team of PCI transactional attorneys that provides dedicated legal counsel to PCI business development professionals and technology licensing officers in support of the structuring, review, negotiation and enforcement of corporate alliance contracts and other corporate transactional agreements (e.g. options, licensing agreements, copyright/software licensing agreements, SRAs, TRMs, CDAs, MOUs, etc.) generated by PCI, and directly related to but not limited to, the various alliance, intellectual property, and business development portfolios managed by PCI. The Associate Director of Legal Affairs-Alliances will be responsible for managing final legal work products for new alliance program contracts, third party agreements associated with such alliances and maintaining excellent working relationships with internal and external alliance partners. This position will also manage periodic updates and amendments of existing alliance agreements. This position will also supervise, manage, and mentor the Senior Contracts Administrator.

Responsibilities:

  • Working in a dedicated client relationship to, and under the direction of, the PCI Executive Director of Corporate Alliances provide legal counsel to PCI business development professionals and technology licensing officers in support of the structuring, review, and negotiation of corporate alliances and other transactional agreements related to Penn's corporate alliance portfolio.
  • Coordinate, oversee and be responsible for the final work product for all legal activities related to corporate alliance contracting between various groups within PCI and Penn. Cultivate productive relationships with alliance partners both internal and external to Penn.
  • Actively oversee and manage the corporate alliance agreement portfolio including updating and amending contacts as additional IP is created that falls under the alliance contracts through.
  • Provide legal counsel to PCI business development professionals and technology licensing officers in support of the structuring, review, negotiation and enforcement of transactional agreements (e.g. term sheets, options, licensing agreements, etc.) generated by PCI, and directly related to, technologies and inventions managed by PCI.
  • Actively collaborate with the designated team of PCI transactional attorneys and business development professionals to strategically manage alliance programs and their associated contractual obligations, as well as licensing of intellectual property and business development portfolios. Ensure that contracts are negotiated and updated in a timely and consistent manner.
  • Supervise, oversee work product and mentor the Senior Contracts Administrator.

Qualifications:

Law Degree required plus at least 3-5 years related legal experience; Member of the Bar of Pennsylvania (or member of the Bar of another state and able to become a member of the Pennsylvania Bar within a year as a condition of continued employment); Preferably at least two years in drafting negotiating contracts; Patent licensing experience required, as well as experience working with technology alliance program / partnership agreements, sponsored research agreements, equity and shareholder/investor rights agreements; Excellent written and verbal communication skills; Proven ability to successfully manage multiple tasks simultaneously; Proactive approach to problem-solving; Team player; excellent attention to detail, follow-through & closing.
